Please read these Terms of Service (the “Terms”) fully and carefully before using www.KurvHealth.com (the “Site”) and the services, features, content, or applications (including, without limitation, the Kurv Health mobile application) offered by Kurv Health Corporation dba Kurv Health (together with the Site, the “Services”). These Terms set forth the legally binding terms and conditions for your use of the Site and the Services provided by Kurv Health Corporation, its parents, subsidiaries, and affiliates (collectively, “Kurv Health,” “we,” “us,” and “our”). These Terms include the provisions in this document, as well as those in our Privacy Policy.

BY USING OR OTHERWISE ACCESSING THE SERVICES, REGARDLESS OF WHETHER YOU REGISTER OR CREATE AN ACCOUNT THROUGH THE SERVICES, YOU AGREE TO THESE TERMS, INCLUDING THE INFORMATION PRACTICES DISCLOSED IN OUR PRIVACY POLICY. AS FURTHER DESCRIBED BELOW, YOU ALSO AGREE TO RESOLVE ANY DISPUTE THAT YOU MAY HAVE WITH US WITH RESPECT TO THE SERVICES IN THE STATE OF COLORADO AND THROUGH BINDING INDIVIDUAL ARBITRATION, AND YOU HEREBY WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. IF YOU DO NOT AGREE WITH THESE TERMS, YOU CANNOT USE THE SERVICES.

 

Kurv Health is Not an Insurance Provider

Kurv Health is a healthcare membership program and not a health insurance company. We do not provide health insurance, nor do we guarantee payment for any medical services outside of our reimbursement program. Kurv Health members pay for healthcare services out-of-pocket and may submit claims for reimbursement per our terms. Our program is designed to make healthcare more accessible and affordable, but it does not replace traditional health insurance policies, Medicare, or Medicaid.

 

Will These Terms Ever Change?

We reserve the right to change the Terms at any time. If we make any material changes, we will bring them to your attention by placing a notice on the Services, sending you an email, and/or by other reasonable means. If you do not agree with the new Terms, you are free to reject them, but you may no longer be able to use some or all of the Services. If you use the Services in any way after a change to the Terms is effective, that means you agree to all of the changes.

 

What Are the Basics of Using the Services?

You may be required to sign up for an account and log in using a username and password (“Kurv Health User ID”). You promise to provide us with accurate, complete, and updated registration information about yourself. You represent that you have properly identified yourself by entering your own name and personal identifiers when registering for the Services. You may not transfer your account to anyone else without our prior written permission. You’re responsible for any activity associated with your account and for keeping your account password secure.

You represent and warrant that you are an individual of legal age to form a binding contract. You will only use the Services for your own internal, personal, non-commercial use, and only in a manner that complies with all laws applicable to you. If your use of the Services is prohibited by applicable laws, then you are not authorized to use the Services. We cannot and will not be responsible for your use of the Services in a way that violates the law.

Your use of the Services is subject to the following additional restrictions. You agree that you will not:

• Infringe or violate the intellectual property rights of Kurv Health or any other third party;

• Violate any applicable laws or regulations;

• Engage in any fraudulent, deceptive, harassing, defamatory, obscene, or otherwise objectionable behavior;

• Jeopardize the security of your Kurv Health account or anyone else’s;

• Attempt to obtain the password, account, or other security information from any other user;

• Attempt to access or disrupt the security of any computer network or break any security encryption codes;

• Run any form of spam, bot, auto-responder, or similar process that interferes with the functionality of the Services;

• Use the Services to copy, scrape, or store any significant portion of the Content;

• Reverse engineer, decompile, or attempt to obtain the source code or underlying ideas of the Services.

A violation of any of the foregoing is grounds for termination of your right to use or access the Services.

Kurv Health provides access to healthcare services, but we do not provide medical advice. The information made available on our platform is for informational purposes only and should not be considered a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare provider with any questions regarding a medical condition. Do not disregard professional medical advice or delay seeking care because of something you have read on the Services.

DO NOT USE THE SERVICES FOR EMERGENCY MEDICAL NEEDS. IF YOU EXPERIENCE A MEDICAL EMERGENCY, CALL 911 IMMEDIATELY.

 

How Does Billing and Reimbursement Work?

Certain Kurv Health Services may require payment. By using these Services, you agree to the applicable fees and payment terms as displayed during your use of the Services.

If you pay out-of-pocket for medical services, prescriptions, or other healthcare-related expenses, you may submit your receipts through the Kurv Health app for reimbursement. Kurv Health will either:

• Reimburse you directly for eligible expenses, or

• Pay the provider directly if you have not yet settled the bill.

All reimbursements are subject to eligibility verification and may take time to process. You agree to provide accurate and truthful information when submitting reimbursement requests.

Reimbursement Negotiation

If a Kurv Health member receives care at an outside clinic, hospital, or other facility and is later invoiced for payment with Kurv Health listed as the responsible party, Kurv Health reserves the right to communicate directly with the provider or facility. We may, at our sole discretion, negotiate on the patient’s behalf in an effort to reduce the amount owed. This negotiation is not guaranteed and does not constitute an obligation to pay for services rendered outside of Kurv Health’s direct care ecosystem. Members remain responsible for any outstanding balances unless otherwise agreed upon in writing by Kurv Health.

 

Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, IN NO EVENT SHALL KURV HEALTH, NOR OUR DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, LICENSORS, OR CONTENT PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO US IN THE PREVIOUS THREE MONTHS OR (B) $100.

 

Dispute Resolution & Arbitration Agreement

Any dispute arising from or relating to these Terms shall be resolved through binding individual arbitration in the State of Colorado. YOU AGREE TO WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

 

Final Terms

These Terms constitute the entire agreement between you and Kurv Health concerning the Services. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect. Kurv Health may assign its rights and obligations under these Terms at any time.
